These Terms and Conditions ("Terms") govern your use of the Milow Advanced Media LLC website and the services provided by Milow Advanced Media LLC ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Website Use
You may use our website for lawful purposes only and in accordance with these Terms. You agree not to use our website:
- In any way that violates applicable federal, state, or local law
- To transmit unsolicited commercial communications
- To impersonate any person or entity
- To engage in any conduct that restricts or inhibits anyone's use of the website
- To attempt to gain unauthorized access to any portion of the website or related systems
2. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, images, audio clips, and software, is the property of Milow Advanced Media LLC or its content suppliers and is protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.
3. Service Estimates and Project Scope
All estimates, proposals, and project scopes provided by Milow Advanced Media LLC are based on information available at the time of proposal. Final pricing is subject to:
- On-site assessment and verification of conditions
- Changes in material or equipment costs
- Modifications to project scope requested by the client
- Discovery of unforeseen conditions during installation
- Manufacturer price changes for special-order equipment
Written change orders will be required for any modifications to the agreed scope of work.
4. Payment Terms
Payment terms are specified in each individual project agreement. Standard payment structure is as follows:
- Deposit of 30-50% required upon contract execution
- Progress payments as specified in project milestones
- Final payment due upon project completion and client sign-off
Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. Milow Advanced Media LLC reserves the right to suspend work on unpaid accounts.
5. Installation Limitations
Milow Advanced Media LLC is responsible for the installation of agreed-upon equipment and systems. The Company is not responsible for:
- Pre-existing structural, electrical, or network deficiencies
- Damage caused by acts of nature, power surges, or third-party interference
- Performance issues resulting from internet service provider limitations
- Incompatibilities with equipment or software not supplied by the Company
- Unauthorized modifications to installed systems
6. Warranties Disclaimer
Equipment warranties are provided by the respective manufacturers. Milow Advanced Media LLC provides a workmanship warranty on labor for a period of one (1) year from the date of installation completion. This warranty covers defects in installation workmanship only and does not cover:
- Equipment failure or malfunction (covered by manufacturer warranty)
- Damage resulting from misuse, abuse, or unauthorized modifications
- Normal wear and tear
- Acts of God or force majeure events
THE COMPANY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, BEYOND THOSE EXPLICITLY STATED HEREIN.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MILOW ADVANCED MEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH OUR SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Company's total cumulative liability for any claims arising out of or related to a specific project shall not exceed the total amount paid by the client for that specific project.
8. User Responsibilities
Clients are responsible for:
- Providing accurate information about their property and project requirements
- Ensuring safe and reasonable access to the property during installation
- Obtaining any necessary permits or HOA approvals prior to installation
- Maintaining adequate homeowner's or commercial property insurance
- Using installed systems in accordance with provided training and documentation
- Notifying the Company promptly of any system issues or defects
9. Third-Party Hardware and Software
Milow Advanced Media LLC installs and integrates third-party hardware and software products from manufacturers such as Crestron, Lutron, Sony, Control4, Sonos, Ubiquiti, and others. The Company is not responsible for:
- Changes to third-party software, firmware, or APIs that affect system functionality
- Discontinuation of products or services by manufacturers
- Third-party subscription fees required for continued system operation
- Security vulnerabilities inherent in third-party products
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Hennepin County, Minnesota, and the parties hereby consent to the personal jurisdiction and venue of such courts.
11. Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or any services provided by Milow Advanced Media LLC, including any question regarding its existence, validity, or termination, shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall take place in Hennepin County, Minnesota. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12. Indemnification
You agree to indemnify, defend, and hold harmless Milow Advanced Media LLC, its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.
13. Force Majeure
Milow Advanced Media LLC shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, pandemic, supply chain disruptions, labor strikes, government actions, or utility failures. In such events, the Company will make commercially reasonable efforts to resume performance as soon as practicable.
14. Termination
Either party may terminate a service agreement upon written notice. Termination fees and refund eligibility are governed by our Refund Policy. The Company reserves the right to terminate website access for any user who violates these Terms.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
